Terms of Service — Levion Clinic
Last updated: 25 October 2026 · Version 2026-10-25
This is an English translation of the Hebrew Terms of Service (עברית). If there is any inconsistency between the versions, the Hebrew version prevails.
Welcome to Levion Clinic — a secure clinic management system for clinics in Israel, operated by Levion CS and T, a company registered in Georgia, whose registered address is Givi Kartozia 10, Tbilisi, Georgia (hereinafter: "the Company" or "Levion"). The Company is the contracting party with the customer under these Terms. This document governs the terms of use of the system, the accompanying applications, the signed price-offer module and any related service (together: "the Service").
1. Introduction and acceptance of the Terms
Use of the Service, including approval of a signed price offer, opening an account or logging in to the system, constitutes full acceptance of these Terms and of the Company's Privacy Policy. If you do not agree to the Terms, do not use the Service. A person who signs a price offer or opens an account represents that he or she is authorised to bind the clinic or the legal entity on whose behalf he or she is acting (hereinafter: "the Customer" or "the Clinic"). The Service is intended for business and professional use by clinics and their staff, and the Customer contracts with the Company as a business and not as a consumer.
2. The Service and the licence of use
Subject to payment and compliance with these Terms, the Company grants the Customer a limited, non-exclusive, non-transferable and revocable licence to use the Service in accordance with the subscription plan purchased. The licence includes, depending on the plan: the clinic management system (patients, calendar, inventory, invoices and reports), the patient app for iOS and Android, sending SMS and WhatsApp messages, the signed price-offer module and additional add-ons as defined in the price offer.
3. Account, users and access security
- The number of authorised users is determined by the plan and the add-ons purchased. The Company may check the actual number of users, and usage exceeding the plan will be charged an additional fee or result in an adjustment of the plan.
- The Customer is responsible for keeping the access credentials of all its users confidential, for any use made of its account, and for immediately removing the permissions of employees who have ended their employment.
- Access credentials may not be shared with parties who are not part of the clinic staff, including competitors or external service providers, without the Company's approval.
- The Customer will notify the Company without delay of any unauthorised use or suspected breach of account security.
4. Subscription, payments and VAT
- Subscription fees are paid in advance, on a monthly or annual plan, and renew automatically at the end of each period unless a notice of non-renewal is given at least 30 days before the end of the period.
- Payments are processed by Dodo Payments, acting as the Merchant of Record for the service, subject to its terms. Charges are made in US dollars. Clinics in Israel are also shown the amount in shekels at the Bank of Israel representative rate on the day of the first payment; the USD amount is set on that day and stays fixed for the subscription period, while the shekel amount of each charge depends on the rate on the charge day and on the payment method's terms.
- On the annual plan, the year's subscription is paid in advance in one payment, together with the onboarding services. Add-ons (users, branches, storage, SMS packs and others) are bought from inside the system when needed and are billed separately from the subscription; non-payment of an add-on ends that add-on only and does not affect the subscription itself.
- One-time setup services (data import, training, template customisation and the like) are charged separately and are non-refundable in any event, unless they were included in the offer as a gift or at a discount — as set out in the signed price offer.
- Levion is a company registered in Georgia and the service is sold to businesses. Levion does not charge Israeli VAT. Any tax the payment provider is required by law to collect, if any, is shown on the payment page before the charge. Reporting or tax obligations that apply to the customer under its own law are the customer's responsibility.
- A payment not paid on time will bear linkage differentials and interest as provided by law, and the Company may suspend access to the Service in accordance with section 21.
5. Price changes and signed price offers
The Company may update the prices of the Service with at least 30 days' advance notice. Prices and discounts set in a signed proposal apply to the first period of the subscription — one year on the annual plan, or 12 charges on the monthly plan — unless the proposal states explicitly that the discounts are kept while the subscription is active. After the first period the subscription renews at the Company's price list at the time of renewal. A price update never applies to a period already paid in advance, and any change to the renewal price is notified at least 30 days in advance; the customer may give notice of non-renewal as set out in section 4.
6. Cancellation and refunds
- The Customer may cancel the subscription at any time by notice to the Company; the cancellation will take effect at the end of the current billing period.
- No refunds will be given for partial billing periods or for cancellation before the end of a period paid in advance, unless expressly provided otherwise in writing or by law.
- Charges accrued up to the date of cancellation will be paid in full.
7. Changes to the Service
The Company continuously develops and improves the Service, and may add, change, update or remove components, characteristics and features of the Service at any time, among other things for reasons of security, regulation, operations and product improvement. A material removal of a core feature included in the Customer's plan will be made, to the extent possible, with reasonable advance notice.
8. Changes to the Terms of Service
The Company may update these Terms from time to time. A material change will be brought to the attention of customers by notice on the website, in the system or by email, and will take effect within 14 days of the date of the notice (or on a later date specified in it). Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms. A material change that significantly harms the Customer's rights during a period paid in advance entitles the Customer to cancel the subscription within 30 days and to receive a pro-rata refund for the remainder of the paid period.
9. Clinic and patient data — ownership and processing
- The data belongs to the Clinic. All data the Customer enters into the Service — including patient records, appointments, documents and invoices — is the property of the Customer, and the Company claims no proprietary rights in it.
- For the purposes of the Protection of Privacy Law, 5741-1981, the Customer is the database owner (the data controller), and the Company acts as a holder/processor that processes the data on behalf of the Customer and in accordance with its instructions, solely for the purpose of providing the Service.
- The Customer grants the Company a licence to store, process, back up and transfer the data to the extent required to operate the Service and provide support.
- The Company may generate and use aggregated and anonymous statistical data, which does not identify the Customer or its patients, for the purpose of improving and developing the Service.
10. Privacy and data security
- The Company implements organisational and technological security measures in accordance with the Protection of Privacy Law, 5741-1981 (including Amendment 13) and the Protection of Privacy Regulations (Data Security), 5777-2017.
- A severe security incident concerning the Customer's data will be reported to the Customer without delay, in accordance with the provisions of the law.
- The Service uses operational sub-processors — including cloud hosting services, the messaging provider 019, Meta (WhatsApp), the Apple and Google app stores and invoicing providers — and the Company will ensure that its engagements with them are consistent with the applicable data-security requirements.
- It is clarified that the Clinic's obligations as the database owner — including informing patients, obtaining consents, responding to requests for access and correction, registering with or notifying the Privacy Protection Authority, and appointing a privacy protection officer where required — apply to the Clinic alone.
11. Export, retention and deletion of data upon termination
- The Customer may export its data from the system at any time during the subscription period.
- Upon termination of the engagement, the Customer will have a period of 30 days to export its data, with the Company's assistance as needed and at no additional cost. After 90 days from termination of the engagement, the Company may delete the Customer's data from its systems.
- Responsibility for retaining medical records for the periods prescribed by law (including Ministry of Health guidelines) lies with the Clinic alone. The Customer is advised to keep an independent, up-to-date backup copy of its data.
12. Disclaimer — the Service is not medical advice
Levion Clinic is a management and operations system only. The Service does not provide medical advice, diagnosis or treatment, and is not a substitute for clinical judgement. Full and exclusive professional responsibility for any clinical decision, diagnosis, treatment plan, prescription, medical document or treatment price offer lies with the practitioner and the Clinic alone. To the extent that features based on artificial intelligence are offered in the Service, their outputs constitute a draft and an aid only, and require review and approval by an authorised professional before any use is made of them.
13. Messages to patients and the Anti-Spam Law
- The Clinic bears sole responsibility for the lawfulness of messages sent through the Service — including obtaining recipients' consent, the content of the messages, the timing of sending and opt-out mechanisms — in accordance with section 30A of the Communications Law (Telecommunications and Broadcasting), 5742-1982, and any other law.
- Sending WhatsApp messages is also subject to Meta's policies, including template approval rules, and the Clinic is responsible for complying with them.
- The Company provides the technical platform only and does not guarantee actual delivery of messages, which depends on mobile operators, Meta and other third parties.
14. Electronic signatures
The parties agree that an electronic signature captured in the Service — including a signature on a price offer, on a touch screen or by any other means provided by the system — legally binds them, in accordance with the Electronic Signature Law, 5761-2001, and that the record of the signature in the system (including the time, the signer's details and technical identification data) will serve as admissible evidence of the fact of signing and of its content. Responsibility for the legal validity of clinical forms signed with patients, including informed-consent forms in accordance with Ministry of Health guidelines, lies with the Clinic.
15. Availability, maintenance and support
- The Company uses commercially reasonable efforts to ensure high availability of the Service, but the Service is provided as is (AS-IS) and without any commitment to continuous or fault-free availability.
- Planned maintenance will be carried out, to the extent possible, during low-usage hours; the Company may carry out unplanned maintenance at any time when required.
- Support is provided through the channels and during the hours published from time to time, and includes onboarding assistance in accordance with the plan purchased.
16. Third-party services
The Service integrates and depends on third-party services — including hosting and cloud infrastructure, the messaging provider 019, Meta (WhatsApp), the Apple and Google app stores and invoice-generation providers. Use of these components is also subject to the terms of those providers, and the Company is not responsible for their availability, for faults in them or for changes they make to their services.
17. Permitted and prohibited use
The Service may not be used unlawfully or in breach of these Terms, and in particular it is prohibited:
- to copy, reproduce, sell, rent or transfer the Service or any part of it to a third party;
- to reverse engineer, decompile or attempt to extract the source code of the Service;
- to perform security scans, penetration tests or attempts to circumvent security mechanisms without prior written approval;
- to use the Service or its content to develop a competing product or to train artificial intelligence models;
- to enter into the Service content that is unlawful, offensive or infringes the rights of a third party;
- to use the Service in a manner that may harm its proper operation or other users.
18. Intellectual property and feedback
All intellectual property rights in the Service — including the software, the applications, the design, the templates, the trademarks and the know-how — are and will remain owned by the Company. No right in the Service is granted to the Customer beyond the licence of use defined in these Terms. Feedback, suggestions and ideas for improvement provided by the Customer are given to the Company for free use, without consideration and without time limitation.
19. Limitation of liability
- The Service is provided as is (AS-IS) and as available (AS-AVAILABLE), without warranty of any kind, express or implied, including any warranty of fitness for a particular purpose.
- The Company will not be liable for indirect, consequential or special damages, including loss of profits, loss of revenue, loss of data or damage to reputation — even if it has been advised of the possibility of their occurrence.
- The Company's total and aggregate liability, on any cause of action whatsoever, will not exceed the total amounts actually paid by the Customer to the Company in the 12 months preceding the event giving rise to the cause of action.
- These limitations will not apply where the law does not permit them to be limited, including in respect of damage caused by the Company's wilful misconduct or gross negligence.
- The exclusive remedy for loss of data will be commercially reasonable efforts to restore it from the Company's backups.
20. Indemnification
The Customer will indemnify the Company for any demand, claim, damage or expense (including attorneys' fees) arising from data entered by the Customer into the Service, from the Customer's clinical or business activity, from a breach of these Terms by the Customer or anyone acting on its behalf, from a breach of the Protection of Privacy Law due to the Customer's failure to fulfil its obligations as the database owner, or from a breach of anti-spam and messaging laws due to messages sent by the Customer through the Service.
21. Suspension and termination
- The Company may suspend access to the Service in the event of a payment delay exceeding 10 days (after notice is given), a breach of these Terms, a security risk or unlawful use.
- The Company may terminate the engagement due to a material breach that has not been cured within 30 days of notice, and also for convenience with 30 days' advance notice (in such case, the Customer will be refunded the pro-rata portion of any advance payment for the period following termination).
- Charges accrued up to the date of termination will be paid in full; upon termination of the engagement, the provisions of section 11 regarding export and deletion of data will apply.
22. Trial periods and beta features
Trial periods, pilot plans and features marked as beta or experimental are provided as is, without any commitment to availability, continuity or data retention, and the Company may change or discontinue them at any time. It is recommended not to rely on them for critical activity before they have become part of the full Service.
23. Force majeure
The Company will not be liable for non-performance of, or delay in performing, its obligations arising from circumstances beyond its reasonable control — including war, a state of emergency, hostile acts, natural disaster, strike, national infrastructure and communications failures, external cyber attacks and orders of a competent authority. If the disruption continues uninterrupted for more than 30 days, either party may terminate the engagement by written notice. Nothing in the foregoing exempts from the obligation to pay for service that has been provided.
24. Miscellaneous
- The Customer may not assign its rights or obligations under these Terms without the Company's written consent; the Company may assign them to an affiliated entity or in the context of a merger or sale of business.
- Notices will be given by email, by notice in the system or on the website, and will be deemed to have been delivered at the time they are sent.
- If any provision of these Terms is held invalid, the remaining provisions will remain in force.
- These Terms, together with the signed price offer and the Privacy Policy, constitute the entire agreement between the parties. In the event of a conflict between these Terms and a signed price offer, the price offer will prevail in matters expressly governed by it.
- Failure to enforce a right does not constitute a waiver of it. Provisions which by their nature are intended to continue to apply after termination of the engagement will continue to apply.
25. Governing law and jurisdiction
These Terms and the use of the Service are governed exclusively by the laws of the State of Israel. Exclusive jurisdiction in any matter relating to these Terms or to the Service is vested in the competent courts of the Tel Aviv–Jaffa district.
